Terms governing use of this website and the licensing of the TripScript Travel Automation System by TripScript Tourism L.L.C.
1. About these terms
These terms govern your use of this website and set out the framework under which TripScript Tourism L.L.C (“TripScript”) licenses the TripScript Travel Automation System (the “Platform”). Where TripScript and a customer sign a separate written agreement, order form or statement of work, that document governs the relationship and prevails over these terms to the extent of any conflict.
By using this website you accept these terms. If you do not accept them, please do not use the site.
2. Who we are and what we sell
TripScript is a software vendor. We license travel automation software to travel businesses: DMCs, OTAs, TMCs, travel agents and tour operators. TripScript does not sell travel to consumers and is not the merchant of record for any booking made on a platform operated by one of our customers. Bookings are a contract between the traveller and the travel business they booked with.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to transact with us. Where you act for an organisation, you confirm that you are authorised to bind that organisation.
4. Licensing and scope of services
- The Platform is licensed, not sold. TripScript grants the customer a non-exclusive, non-transferable right to use the licensed modules for the term of the agreement.
- Modules are licensed individually. Only the modules identified in the order form are enabled for the customer.
- Delivery, configuration, customisation, branded mobile application publication and support are provided as described in the signed agreement.
- TripScript may improve, modify or replace parts of the Platform, provided that materially advertised functionality is not degraded during a paid term.
5. How engagements start
Requests may be made through this website, by telephone, by WhatsApp or by email. Following consultation, TripScript issues a pro forma invoice or order form. Work begins once the agreement is signed and any required initial payment is received. Fees, payment schedule and currency are set out in the agreement.
6. Customer responsibilities
- Provide accurate business, contact and billing information
- Keep account credentials and API keys confidential
- Hold the licences, registrations and regulatory approvals required to operate a travel business in your market
- Publish your own terms, privacy notice and cancellation policy to your travellers, and handle your travellers’ data lawfully as controller
- Ensure content, inventory and pricing you publish through the Platform are accurate
7. Acceptable use
You must not, and must not permit others to:
- Use the Platform to break the law, or to facilitate fraud or money laundering
- Reverse engineer, decompile, copy or create derivative works from the Platform, except to the extent this restriction is unenforceable by law
- Resell, sublicense or provide access to the Platform to a third party other than as permitted by the agreement
- Circumvent access controls, probe or test system security without written authorisation, or attempt to access another customer’s data
- Introduce malicious code, or interfere with the availability or integrity of the service for others
- Scrape, mine or extract bulk data other than through the API access granted to you
8. Availability and support
TripScript operates the Platform on cloud infrastructure and works to keep it available continuously. Any committed availability target, incident response time and support hours are set out in the service levels attached to the customer’s agreement. Planned maintenance is notified in advance where practicable. TripScript is not responsible for downtime caused by factors outside its reasonable control, including failures of third-party suppliers, GDS, payment providers or public networks.
9. Third-party integrations
The Platform connects to third-party suppliers and services, including accommodation and excursion providers, global distribution systems, insurance providers, mapping, authentication and payment providers. Their content, availability, pricing and terms are controlled by them. TripScript is not liable for the acts, omissions or content of those third parties.
10. Fees, invoicing and refunds
- Fees are payable as set out in the order form or pro forma invoice
- Unless the agreement states otherwise, fees exclude applicable taxes and duties, which are payable by the customer
- Licence and subscription fees are non-refundable once the relevant period has begun, except where required by law or expressly agreed
- Refund requests relating to service issues are reviewed within 72 hours of being raised
- TripScript may suspend access for accounts materially overdue, after written notice
11. Intellectual property
The Platform, its source code, design, documentation and the TripScript name and logo are and remain the property of TripScript Tourism L.L.C and its licensors. All rights not expressly granted are reserved. Customer data, customer branding and customer content remain the property of the customer, who grants TripScript the limited licence needed to host and operate the service.
All third-party logos, brands and images referenced through the Platform belong to their respective owners.
12. Data protection
Personal information is handled as described in our Privacy Policy. Where TripScript processes traveller or end-customer data on a customer’s behalf, it does so as processor on the customer’s documented instructions under a data processing addendum forming part of the agreement. Platform data is hosted in the AWS me-central-1 (UAE) region.
13. Confidentiality
Each party will keep the other’s non-public information confidential, use it only for the purposes of the agreement, and protect it with at least reasonable care. Confidentiality obligations survive termination.
14. Warranties and disclaimers
TripScript warrants that it will provide the Platform and services with reasonable skill and care. Except as expressly stated and to the fullest extent permitted by law, the Platform is provided “as is”, and TripScript disclaims all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. TripScript does not warrant that the Platform will be uninterrupted or error-free, nor that third-party supplier content will be accurate or available.
15. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. TripScript’s total aggregate liability arising out of or in connection with the agreement is limited to the fees paid by the customer to TripScript in the twelve months preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.
16. Indemnity
The customer will indemnify TripScript against claims arising from the customer’s use of the Platform in breach of these terms or applicable law, from content or inventory the customer publishes, and from the customer’s relationship with its own travellers.
17. Term, suspension and termination
The term, renewal and notice periods are set out in the agreement. Either party may terminate for material breach that is not remedied within 30 days of written notice. TripScript may suspend access immediately where continued access presents a security, legal or payment risk. On termination, access ends and the customer may request an export of its data within the period stated in the agreement.
18. Website use
Content on this website is provided for general information about our products. It does not form an offer or a contractual commitment, and specifications may change. Do not rely on it as professional advice.
19. Governing law and disputes
These terms are governed by the laws of the United Arab Emirates. The parties will first attempt to resolve any dispute in good faith. Failing that, disputes are subject to the exclusive jurisdiction of the courts of the United Arab Emirates.
20. Changes to these terms
We may update these terms for the website at any time by posting a revised version here. Changes to a signed customer agreement are made only as that agreement provides.
